It is not a party to these Terms & Conditions and takes on no obligations to you under them. It may process your personal data for the purposes described in our Privacy Policy, which explains its separate responsibilities. Prop Account, LLC and its group companies are also not parties to these Terms & Conditions; your relationship with them is governed by their own terms.

Where relevant, Xaura Evaluation Limited and River Valley Capital Ltd are together referred to as the River Valley Capital Group of Companies.

Registered Business Address: Apartment 84, Berkeley Tower 48 Westferry Circus London E14 8RP United Kingdom

Xaura Evaluation Limited is an affiliate of Prop Account LLC. Funding assessments are provided by Prop Account LLC, and applicable assessment fees are paid to Prop Account LLC. Traders who qualify for a Funded Account are required to enter into the applicable Trader Agreement with Prop Account LLC.

Xaura Evaluation Limited remains responsible for claims and representations made in relation to River Valley Capital's trading evaluations, subject to the applicable contractual arrangements and law.

Where payment, identity-verification, trading-platform, or other third-party services are provided by separate entities, the applicable provider terms and policies may also apply.

These Terms & Conditions should be read together with any agreement applicable to the trader's selected programme, account, or service.

    2. Eligibility and Age Requirements

Individuals must be at least 18 years old, or meet any higher applicable minimum legal age in their jurisdiction, to participate in River Valley Capital's trading programmes.

Traders are responsible for ensuring that their participation is lawful in their country or jurisdiction of residence.

River Valley Capital may restrict or refuse access to individuals, regions, or jurisdictions where:

    • Providing the relevant service is prohibited.
    • Applicable sanctions prevent participation.
    • Legal or regulatory restrictions apply.
    • River Valley Capital determines that participation creates material compliance concerns.

Participation is not permitted where it would violate applicable sanctions restrictions, including applicable sanctions administered by the United States Office of Foreign Assets Control (OFAC).

River Valley Capital does not actively target the United States market with its CFD-related offering.

This does not itself establish whether a particular US resident is eligible. Eligibility remains subject to applicable law and River Valley Capital's participation requirements.

River Valley Capital may refuse or restrict participation where permitted by applicable law.

    3. Trading Programmes

River Valley Capital offers three primary trading programmes.

    1-Step Programme

The 1-Step Programme requires traders to complete one assessment stage while satisfying the applicable profit target and risk-management requirements.

    Standard conditions include:

    • 10% profit target
    • 5% daily loss limit
    • 6% static maximum drawdown

    2-Step Programme

The 2-Step Programme consists of two assessment stages.

    Step 1:

    • 8% profit target

    Step 2:

    • 5% profit target

    The programme also applies:

    • 5% daily loss limit
    • 8% static maximum drawdown

    Instant Funding Programme

The Instant Funding Programme does not require an assessment profit target.

    Standard conditions include:

    • No profit target
    • 5% daily loss limit
    • 8% trailing maximum drawdown based on closed balance

All programme conditions remain subject to the detailed Trading Rules applicable to the selected account.

For complete programme requirements, review the Trading Rules:

    https://rivervalleycapital.co.uk/prop-firm-trading-rules

    4. Account Registration and Responsibility

Traders must provide accurate, complete, and current information when:

    • Registering an account.
    • Purchasing a programme.
    • Completing identity verification.
    • Requesting a payout.
    • Communicating information relevant to account administration.

Traders are responsible for all activity conducted through their accounts.

This includes activity performed manually or through permitted Expert Advisors (EAs) and automated trading systems.

Traders must not provide false or misleading identity, payment, ownership, or account information.

Account access may be restricted, suspended, or terminated where registration information, verification, trading activity, or account usage does not comply with the applicable requirements.

    5. Account Limits

The maximum active account allocation per individual is:

    $1,000,000

This Maximum Allocation Limit applies to assessment and funded accounts combined. Traders may hold any mix of plans at the same time, including Instant, 1-Step and 2-Step, in either assessment or funded stage, provided the total allocation across all active accounts does not exceed $1,000,000. The aggregate limit applies across all accounts associated with a person, regardless of the number or combination of plans.

    Traders must not use:

    • Multiple identities.
    • Coordinated accounts.
    • Unrelated third-party accounts.
    • Prohibited copy trading.
    • Opposing cross-account positions.
    • Other prohibited arrangements.

to circumvent account or allocation limits.

River Valley Capital may review account ownership, trading activity, and related information when assessing compliance with these restrictions.

    6. Trading Rules and Risk Management

All traders must comply with the Trading Rules applicable to their selected programme.

These rules include requirements relating to:

    • Profit targets.
    • Daily loss limits.
    • Maximum drawdown.
    • Account inactivity.
    • Leverage.
    • News trading.
    • Overnight positions.
    • Weekend positions.
    • Copy trading.
    • Automated trading.
    • Prohibited strategies.

    Daily Loss Limit

The maximum daily loss limit is 5% across the standard programmes.

The daily drawdown calculation resets at 5:00 PM New York time.

The reference value is based on whichever is higher between the previous day's account balance and account equity.

    Account Inactivity

    Accounts must remain active.

An account with no trading activity for 30 consecutive days breaches the inactivity requirement.

    Trading Days

    There is:

    • No minimum trading-day requirement
    • No maximum trading-day limit

    under the standard programme conditions.

Additional programme-specific rules are provided in the Trading Rules.

    7. Prohibited Trading Practices

River Valley Capital prohibits trading strategies and conduct that undermine the integrity of its programmes, exploit platform or pricing weaknesses, or circumvent account requirements.

    Prohibited activities include:

    • Exploiting pricing errors.
    • Exploiting platform vulnerabilities.
    • Latency exploitation.
    • Execution-delay exploitation.
    • Trading using inside or material non-public information.
    • Front-running.
    • Prohibited arbitrage.
    • Coordinated opposing positions across accounts.
    • Cross-account hedging designed to circumvent programme rules.
    • Group trading.
    • Unauthorised copy trading.
    • Challenge-passing services.
    • Prohibited off-the-shelf challenge-passing strategies.
    • Gambling-style trading, including consistently placing trades before news releases or other binary events.
    • Conduct that materially harms broker, platform, or regulatory relationships.

    Hedging

Hedging within a single trading account is permitted, provided it complies with all applicable trading rules.

Coordinated hedging or opposing positions across different accounts, traders, or firms are prohibited.

    Copy Trading

Copy trading is permitted only between accounts owned by the same trader, subject to account and allocation limits.

Copying or mirroring trades belonging to unrelated traders is prohibited.

    Strategy Changes

River Valley Capital does not impose a numerical consistency rule requiring traders to distribute profits evenly across trading days.

However, traders must not use one strategy solely to pass an assessment and then materially switch to a prohibited or challenge-passing strategy after receiving a funded account.

For further details, review the Prohibited Trading Practices:

    https://rivervalleycapital.co.uk/prohibited-trading-practices

    8. News Trading, Overnight Holding and Weekend Positions

    News Trading

Opening a new trading position within three minutes before or three minutes after a restricted News Event is prohibited.

Such a position is not automatically treated as a soft breach. At River Valley Capital's discretion, the position may be closed and its profit or loss removed, the account's leverage may be reduced, or the account may be breached.

Repeated violations may be escalated to serious Terms & Conditions violations.

    Overnight Trading

    Overnight positions are permitted.

Applicable swap charges may apply depending on the instrument and platform conditions.

    Weekend Holding

1-Step: Weekend holding is permitted by default.

2-Step: Weekend holding is permitted by default.

Instant Funding: Weekend holding requires the Hold Weekends add-on.

    9. Expert Advisors and Automated Trading

Expert Advisors and automated trading systems are permitted when they comply with River Valley Capital's Trading Rules and Prohibited Trading Practices.

Automated systems must not be used to:

    • Exploit technical or pricing errors.
    • Perform prohibited arbitrage.
    • Facilitate unauthorised copy trading.
    • Conduct challenge-passing services.
    • Circumvent programme restrictions.

The trader remains responsible for all automated activity conducted through their account.

    10. Optional Add-Ons

River Valley Capital offers five optional add-ons.

    90% Profit Share

The standard profit split allows eligible traders to retain 80% of eligible profits.

The 90% Profit Share add-on increases the trader's eligible share to 90%.

    Remove Lock on Payout

For 1-Step and 2-Step accounts, the maximum drawdown floor locks at the account's starting balance when a payout request is approved.

Withdrawing 100% of eligible profit breaches the account, unless the trader has purchased the Remove Lock on Payout add-on, which disables this default payout-related lock. The applicable threshold then remains calculated as:

(1 − Maximum Drawdown Percentage) × Starting Balance

If the trader cancels a first payout before it is approved, the payout is cancelled and the lock does not apply to the account.

Payouts are processed within 24 to 48 hours.

    Payout Protector

The Payout Protector add-on may protect the trader's otherwise eligible share of gains following a hard breach.

The funded account still closes following the hard breach.

    To qualify:

    • The trader must have purchased Payout Protector.
    • All payout requirements other than the hard breach itself must be satisfied.
    • No Terms & Conditions violation may have occurred.
    • The trader must not have engaged in Prohibited Trading Practices.

Where Payout Protector applies, the trader must request withdrawal of the protected gains within 60 days of the profit's settlement date, or the protected balance is forfeited.

Payout Protector does not prevent account closure and does not apply to prohibited trading or Terms & Conditions violations.

    BoGo

BoGo is available for eligible 1-Step and 2-Step programmes.

Following a qualifying hard breach, BoGo provides a one-time replacement account of exactly the same challenge type and account size. The BoGo replacement is not indefinite: only one replacement account is given upon a breach.

    To qualify:

    • BoGo must have been purchased.
    • The trader must have successfully completed the evaluation phase.
    • The trader must have received at least one successful payout during the funded phase.

For example, if a trader purchases a $100K 1-Step plan with the 90% Profit Share and BoGo add-ons and then suffers a hard breach, they receive a $100K 1-Step plan with a 90% Profit Share, provided they meet the eligibility criteria and stated conditions for a BoGo replacement account.

    Hold Weekends

The Hold Weekends add-on permits eligible Instant Funding traders to maintain positions over the weekend.

Weekend holding is already permitted by default for 1-Step and 2-Step programmes.

    11. Profit Sharing and Payouts

The standard profit-sharing arrangement provides eligible traders with:

    80% of eligible trading profits

    River Valley Capital retains:

    20%

With the optional 90% Profit Share add-on, the trader may receive:

    90% of eligible trading profits

    First Payout

The first payout may be requested at any time, provided:

    • Eligible profits are available.
    • Applicable trading requirements are satisfied.
    • Required identity verification has been completed.
    • No applicable compliance restriction prevents payment.

    Subsequent Payouts

Subsequent withdrawal requests may be submitted once every 30 days.

The 30-day interval is measured from the date of the previous withdrawal request.

    Minimum Withdrawal

    1-Step: No minimum withdrawal amount.

    2-Step: No minimum withdrawal amount.

Instant Funding: The minimum withdrawal amount is the greater of:

    • $100, or
    • 1% of the account's starting balance

    whichever is higher.

    Available Payout Methods

    Payout methods include:

    • Bank wire transfer.
    • Rise.
    • Cryptocurrency.

All payout requests remain subject to account compliance, verification requirements, and the applicable payout conditions.

For complete information, review the Payout Policy:

    https://rivervalleycapital.co.uk/payout-policy

    12. Identity Verification and KYC

Applicable Know Your Customer (KYC) verification must be completed where required for payout eligibility.

Identity verification associated with River Valley Capital's services is supported through the Sumsub Group of Companies.

Traders may be required to provide information necessary to verify their identity.

Failure to provide accurate information or complete required verification may delay, restrict, or prevent a payout.

A KYC failure could also result in rejected withdrawals, forfeited gains and account closure.

Personal information associated with identity verification is handled under the applicable privacy arrangements.

For additional information, review the Privacy Policy:

    https://rivervalleycapital.co.uk/privacy-policy

    13. Programme Fees, Add-On Fees and Refunds

Fees paid for trading programmes are non-refundable, except where applicable law requires otherwise.

Optional add-on purchases are also non-refundable, except where applicable law requires otherwise.

River Valley Capital does not provide discretionary refunds under its standard policy.

In limited special circumstances, River Valley Capital may provide a refund where no trades have been placed on the account.

A trader does not become entitled to a discretionary refund because:

    • They fail an assessment.
    • They breach a trading rule.
    • They exceed a loss or drawdown limit.
    • Their account is closed.
    • They fail to qualify for an add-on benefit.
    • They decide not to continue trading.
    • They fail to achieve the applicable profit target.

Suspected duplicate payments may be reviewed on a case-by-case basis.

Nothing in these Terms & Conditions excludes statutory or other mandatory legal rights that cannot lawfully be excluded.

For further information, review the Refund Policy:

    https://rivervalleycapital.co.uk/refund-policy

    14. Soft Breaches

Soft breaches are trading-rule violations that may be addressed without immediately terminating the account.

A breach of the restricted news-trading window is not automatically treated as a soft breach. At River Valley Capital's discretion, the affected position may be closed and its profit or loss removed, the account's leverage may be reduced, or the account may be breached.

Repeated breaches may be escalated where permitted under the applicable Terms & Conditions.

    15. Hard Breaches

Hard breaches involve essential account risk or activity requirements.

    Hard breaches include:

    • Exceeding the daily loss limit.
    • Exceeding the maximum drawdown threshold.
    • Breaching the 30-day inactivity requirement.

A hard breach may result in closure of the relevant account and forfeiture of otherwise eligible profits.

Applicable add-ons may modify certain consequences.

    For example:

    • Payout Protector may preserve otherwise eligible gains if all applicable conditions are satisfied.
    • BoGo may provide an eligible one-time replacement account.

These add-ons do not override Terms & Conditions violations or Prohibited Trading Practices.

    16. Terms & Conditions Violations

Serious misconduct is treated separately from ordinary soft or hard breaches.

Terms & Conditions violations may include:

    • Prohibited Trading Practices.
    • Gambling-style trading.
    • Unauthorised coordinated trading.
    • Serious abusive behaviour.
    • Fraudulent or misleading account information.
    • Attempts to circumvent account or allocation restrictions.
    • Serious or repeated misconduct.
    • Repeated news-trading violations where escalated.

Depending on the circumstances, violations may result in:

    • Immediate account closure.
    • Suspension.
    • Termination of participation.
    • Disqualification.
    • Restrictions on future participation.
    • Payout rejection.
    • Forfeiture of applicable profits.
    • Forfeiture of applicable fees where permitted by law.

    17. Account Suspension and Termination

River Valley Capital may suspend, restrict, or terminate access to its trading programmes where permitted by the applicable agreement and law.

This may include action without prior notice in cases involving:

    • Prohibited Trading Practices.
    • Fraud or suspected account misuse.
    • Serious Terms & Conditions violations.
    • Material compliance concerns.
    • Circumvention of account requirements.

Trading accounts may also be closed following applicable hard breaches.

Any forfeiture of fees or profits remains subject to the applicable account conditions and legal requirements.

    18. Changes to Trading Conditions

River Valley Capital reserves the right to modify applicable:

    • Leverage.
    • Margin requirements.
    • Drawdown conditions.
    • Trading conditions.
    • Risk-management requirements.

Where permitted by the applicable account agreement and law, River Valley Capital may also take account-level action including:

    • Forced liquidation.
    • Position closure.
    • Account closure.

Changes affecting existing participants will be implemented or communicated where required by applicable law or contractual obligations.

    19. Changes to These Terms & Conditions

River Valley Capital may update these Terms & Conditions to reflect changes in:

    • Trading programmes.
    • Account requirements.
    • Business operations.
    • Service providers.
    • Risk-management requirements.
    • Applicable legal requirements.

Updated Terms & Conditions may be published on the River Valley Capital website.

Where applicable law or an existing contractual arrangement requires notice or consent for a change, the relevant legal or contractual requirements will apply.

    20. Privacy and Personal Information

    Personal information associated with:

    • Account registration.
    • Programme participation.
    • KYC verification.
    • Customer support.
    • Purchases.
    • Payout administration.

is handled in accordance with applicable privacy and data-protection requirements.

Further information is provided in the Privacy Policy:

    https://rivervalleycapital.co.uk/privacy-policy

    21. Third-Party Services

River Valley Capital's services may involve external organisations, including:

    • Prop Account LLC.
    • Sumsub Group of Companies.
    • Rise.
    • Columis.
    • Trading, payment, verification, and technical service providers.

Use of certain third-party services may also be subject to the applicable provider's terms, policies, and requirements.

River Valley Capital is not responsible for modifying the independent terms or privacy practices of external providers.

    22. Our Responsibility to You

22.1 What we are responsible for

If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or of our failure to use reasonable care and skill. Loss or damage is foreseeable if it was an obvious consequence of our breach, or if you and we both knew it might happen when you accepted these terms. We are not responsible for loss or damage that is not foreseeable.

22.2 What we do not exclude or limit

Nothing in these terms excludes or limits our liability for:

    • death or personal injury caused by our negligence;
    • fraud or fraudulent misrepresentation;
    • breach of your legal rights in relation to the services as set out in the Consumer Rights Act 2015; or
    • any other liability that cannot be excluded or limited by law.

    22.3 Your data protection rights

Nothing in this section limits your rights, or our responsibilities, or those of Prop Account, LLC, under data protection law.

22.4 Services provided by Prop Account

Funding assessments, the trading platform, assessment rules, fees, any Trader Agreement and payouts are provided by Prop Account, LLC under its own terms. We are not responsible for loss caused by Prop Account's acts or omissions, its platform or its liquidity providers, except where that loss results from our own breach of these terms.

    22.5 Events outside our control

We are not responsible for delay or failure caused by events outside our reasonable control. These include failures or outages of the trading platform, internet, hosting, payment or verification providers, and market or regulatory events. If such an event affects our services, we will tell you as soon as we reasonably can and take reasonable steps to minimise its effect.

    22.6 Simulated trading and education

All accounts are demo accounts with fictitious funds. Our educational content and other website information are general and do not take account of your circumstances. They are not investment, financial, tax or legal advice. You are responsible for your own trading decisions. We are not responsible for losses of simulated balances, or for decisions you make in reliance on general educational content, except where 22.2 applies.

    22.7 Our website

We aim to keep our website available and accurate, but we do not promise that it will always be available, uninterrupted or error-free.

    22.8 Personal use

Our services are provided for your personal use. Except where 22.2 applies, we are not responsible for any loss of income, profit, business or business opportunity. This includes payouts you believe you might have earned if a funding assessment or simulated trade had gone differently, for example if you say you would have passed an assessment or reached a payout threshold. This does not affect:

    • any payout that has already become due to you under a Trader Agreement, which Prop Account, LLC is responsible for paying under its own terms; or
    • any loss you suffer as a foreseeable result of our own breach of these terms under 22.1, which remains subject to the limit in 22.9.

    22.9 Our maximum liability

Subject to 22.2, our total liability to you for all claims is limited to the total fees you paid for the River Valley Capital programme the claim relates to. Those fees include the programme fee and the fees for any add-ons purchased with that programme, such as 90% Profit Share, Remove Lock on Payout, Payout Protector, BoGo and Hold Weekends. This applies whether the fees were paid to us or to Prop Account, LLC, and is calculated on the amount you actually paid after any discount.

    • If a claim relates to more than one programme, the limit is the total fees paid for all the programmes involved, including their add-ons.
    • A replacement account provided under BoGo counts as part of the programme it replaced. Its limit is the fees paid for the original programme and its add-ons.
    • If a claim does not relate to any particular programme, for example a claim about our website or educational content, our liability is limited to the lesser of: (i) the fees you paid for your most recently purchased programme, including its add-ons; and (ii) £500.

    22.10 Who this section protects

The exclusions and limits in this section 22 also protect River Valley Capital Ltd and the directors, officers, employees and contractors of Xaura Evaluation Limited and River Valley Capital Ltd. Any claim against all of them together, including Xaura Evaluation Limited, is subject to a single combined limit under 22.9, not a separate limit for each.

    23. Governing Law

These Terms & Conditions are governed by the law of England and Wales.

The terms listed here are between the Trader and Xaura Evaluation Limited, trading as River Valley Capital (company no. 17020979, registered in England and Wales). When you buy an Assessment Account, you also accept Prop Account's Client Terms and Policies, which govern the evaluation, assessment rules, and challenge fees. If the trader qualifies for a Funded Account, Payouts and use of the trading platform are governed by the Trader Agreement and Prop Account, LLC's terms. If these terms conflict with Prop Account's terms on those matters, Prop Account's terms apply. Except as otherwise stated, these Terms govern all products and services provided by River Valley Capital, including its trading education materials and website.
